6. INDEMNIFICATION
You agree to indemnify, hold harmless and, at Altaris’s sole option, defend, Altaris and its affiliates, and its and their officers, directors, shareholders, equity holders, members, predecessors, successors in interest, employees, and agents and shall pay all losses, damages, expenses and costs (including reasonable attorneys’ fees) incurred by any of the foregoing based upon any claim or action due to, arising out of or in connection with: (i) your breach of any of these Terms of Use; (ii) your use of the Site; or (iii) your use of the Materials. Altaris shall have the option to participate in such defense or settlement negotiation and may, at its own expense, obtain counsel of its choosing.

7. LIMITATION OF LIABILITY
In no event will Altaris be liable to you for any direct, indirect, consequential, exemplary, incidental or punitive damages, including lost profits, even if Altaris has been advised of the possibility of such damages. Some jurisdictions do not allow limitations of liability, so the foregoing limitation may not apply to you.

8. REMEDIES
You agree that any violation by you of these Terms of Use will constitute an unlawful and unfair business practice, and will cause irreparable harm to Altaris, for which monetary damages would be inadequate, and you consent to Altaris obtaining any injunctive or equitable relief that Altaris deems necessary or appropriate in such circumstances. These remedies are in addition to any other remedies Altaris may have at law or in equity.

9. APPLICABLE LAW AND JURISDICTION
By visiting the Site, you agree that the laws of the State of Delaware, without regard to principles of conflict of laws, will govern these Terms of Use and any dispute of any sort that may arise between you and Altaris. You hereby consent to the jurisdiction of the federal and state courts in Delaware for the purpose of resolving any dispute in connection with your visit to the Site. Altaris may seek injunctive or other appropriate relief in any state or federal court in the State of Delaware, and you consent to exclusive jurisdiction and venue in such court. 11. PRIVACY POLICY
Altaris does not collect any personally identifiable information such as IP address, domain name, webpage, the length of time spent on the Site, or the pages accessed while visiting the Site. The information-gathering technology referred to as “cookies” will not be used in connection with the Site. The only information that Altaris collects is that which is voluntarily submitted by users. By using the Site you hereby understand and consent to the transfer of any data submitted by you to Altaris.

12. SEVERABILITY
If any of the Terms of Use shall be deemed invalid, void, or for any reason unenforceable, such condition shall be deemed severable and shall not affect the validity and enforceability of any of the remaining Terms of Use.

These Terms of Use constitute the entire agreement between Altaris and you with respect to your use of the Site. Neither course of conduct nor usage of trade shall act to modify or alter these Terms of Use.
